1. Eligibility: The "Wheel of Fortune" Text Me to Paradise Sweepstakes ("Sweepstakes") is open only to legal residents who are physically located, and residing, in the 50 states of the United States and D.C., and who are 18 years of age or older as of May 15, 2006. If an entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Employees of Quadra Productions, Inc. ("Sponsor"), Sony Pictures Television Inc., Sony Pictures Digital Inc., Sony Pictures Entertainment Inc., Sony Ericsson Mobile Communications (USA) Inc., ABKing World Productions, Cingular Wireless, Skycastle Entertainment, Inc., Sullivan Compliance Company ("Sweepstakes Administrator"), participating stations, stations airing Wheel of Fortune ("Show"), their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, affiliates, service providers, any other person or entity associated with the Sweepstakes (collectively "Sweepstakes Entities"), members of their immediate families (spouses, children, siblings, parents), and persons living in the same household as such persons, whether or not related, are ineligible to participate in the Sweepstakes.

2. Sweepstakes Description: Sweepstakes consists of five (5) separate individual daily sweepstakes ("Daily Sweepstakes"). Each Daily Sweepstakes begins at 3:00:00 p.m. Pacific Time ("PT") and ends the following day at 2:00:00 p.m. PT weekdays commencing May 15, 2006 through May 20, 2006 ("Sweepstakes Period"). Grand Prize winner will be randomly selected from all eligible entries received for the entire Sweepstakes Period. As part of the entry process, participants are asked to watch Wheel of Fortune ("Show") May 15 - May 19, 2006, for the solution to each day's Bonus Round Puzzle ("Bonus Round Puzzle Solution"). The Bonus Round Puzzle is the puzzle played by the contestant who has the highest cash/prize total at the end of the main game on the Show. Check local listings for Show schedule, which may be changed or preempted without notice (e.g., due to special announcements, or programs that may disrupt normal TV programming). In these cases, at the election of the Show, the Sweepstakes may be played outside the above-stated dates, or not at all.

3. How to Enter: To enter, first text message a Bonus Round Puzzle Solution to the short code WOFTV (96388) on your text message capable phone. Standard messaging rates, terms and conditions will apply. May not be available for all service providers or for all handsets. Check with your service provider for details. Text message entrants will then receive a return text message requesting age confirmation and access instructions to view these Official Rules. You must then text message your choice of age range to the short code WOFTV (96388) on your text message capable phone to complete the entry process. Only after you complete the entry process will you receive entry into the Sweepstakes. Text message entrants will receive one (1) entry into the Sweepstakes per correct Bonus Round Puzzle Solution per Show date ("Text Message Entry"). Bonus Round Puzzle Solution must be correct for Text Message Entry to be eligible. Limit one (1) Text Message Entry per mobile telephone number/person per Show date/Daily Sweepstakes, five (5) Text Message Entries total per Sweepstakes week. The entry page will change each day to reflect the current Show date in which you can provide the Bonus Round Puzzle Solution. Entrants will receive one (1) Online Entry per correct Bonus Round Puzzle Solution per Show date. 4. Prizes/Odds of Winning: One (1) Grand Prize: A trip to be shared by Grand Prize winner and up to three (3) guests (each, a “Guest”) to Honolulu, HI, consisting of: round-trip coach-class air transportation from a major commercial airport near Grand Prize winner’s residence in the 50 states of the U.S. or D.C. (as determined by Sponsor in its sole discretion) to Honolulu, HI; hotel accommodations (up to 2 standard rooms, double occupancy; room and room tax only) for six (6) nights at the Hilton Hawaiian Village; and $1,000 spending money for Grand Prize winner. Approximate Retail Value (“ARV”) of Grand Prize is: $9,682. Odds of winning the Grand Prize depend on the total number of eligible Sweepstakes Entries received during the entire Sweepstakes Period. Twenty (20) Daily Prizes (four (4) prizes per day for five (5) Daily Sweepstakes): A Sony Ericsson Walkman phone (Model w600 or similar model, determined at the sole discretion of the Sponsor) loaded with the Wheel of Fortune game, and $500 worth of either Cingular or Verizon Wireless gift cards (choice of wireless company/network gift cards to be awarded at Sponsor’s sole discretion). ARV of each Daily Prize is: $800. Odds of winning a Daily Prize depend on the total number of eligible Sweepstakes Entries received during that particular Daily Sweepstakes entry period. Total ARV of all prizes is $25,682. Additional compensation will not be provided if actual value of a prize is less than stated ARV. If the Grand Prize winner elects to travel with fewer than three (3) Guests or alone, no substitute compensation will be awarded for unused air transportation and second hotel room. Sponsor reserves the right to structure Grand Prize travel route in its sole discretion. Air transportation provided only if Grand Prize winner and, if applicable, any Guest does not reside on the island of Oahu, HI. Trip must be completed by January 31, 2007. Trip is subject to air travel and hotel availability; holiday and blackout dates; and all other prize and travel restrictions and/or specific terms and conditions set forth by travel prize suppliers and Sponsor. Once determined, no change, extension or substitution of trip dates is permitted, except by Sponsor at its sole discretion. Once travel has been confirmed, any cancellation or change fees are the sole responsibility of Grand Prize winner and his/her Guest(s), as applicable. Grand Prize winner must have/present at least one major credit card in good standing in order to check into hotel room. Grand Prize winner and his/her respective Guest(s) must travel together on the same itinerary and in the same class of air travel. No substitution, transfer, or redemption of prizes (or any prize component) for cash, except that Sponsor, at its sole discretion, may substitute a prize (or prize component) for one of equal value for any reason. Gift card portion of Daily Prize is subject to stated terms and conditions. Prizes and/or prize notifications will be shipped to street addresses in U.S. only. Each winner will be solely responsible for all taxes on prize and will receive an IRS Form 1099 for the year in which the prize is awarded from the Sponsor for the total ARV noted in these rules.

5. Drawing and Notification of Winners: One (1) prize drawing will be held on or about June 2, 2006, for each of the five (5) individual Daily Sweepstakes from all eligible entries received for that individual Daily Sweepstakes. Non-winning Entries from an individual Daily Sweepstakes will not be eligible for, or retained for any subsequent individual Daily Sweepstakes drawings. However, potential Grand Prize winner will be randomly selected from among all eligible Sweepstakes Entries received for the entire Sweepstakes Period in a drawing held on or about June 2, 2006. Drawings will be conducted by the Sweepstakes Administrator, an independent judging organization. Each potential winner (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) will be notified by phone, email, or text message within two (2) weeks of the drawing date. If a potential winner cannot be reached after a reasonable effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, or if his/her prize or prize notification is returned as undeliverable, such potential winner will be disqualified, and an alternate potential winner may be selected at Sponsor's sole discretion. If a potential winner is notified by email or text message, he/she will have three (3) business days within which to respond to the prize notification email/text message, or his/her entry will be disqualified and his/her prize forfeited, and an alternate potential winner may be selected at Sponsor's sole discretion. If an entrant changes his/her email address after he/she enters the Sweepstakes, it is his/her sole responsibility to notify the Sponsor by postal mailing notice to the Sweepstakes Administrator address (listed below) to be received by the end of the Sweepstakes Period. If an entrant enters by text messaging and changes his/her mobile service provider or mobile telephone number after he/she enters the Sweepstakes, it is his/her sole responsibility to notify the Sponsor by postal mailing notice to the Sweepstakes Administrator address (listed below) to be received by the end of the Sweepstakes Period.

6. General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively "Rules and Laws"). Each potential winner (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) will be required to sign, execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release, and any other documentation that the Sweepstakes Administrator and/or Sponsor may require (collectively "Affidavit/Release"), within three (3) days after receipt, or such potential winner may be disqualified, and an alternate potential winner may be selected at Sponsor's sole discretion. If a winner is a resident of a jurisdiction that deems him/her to be a minor, such winner's prize may be awarded in the name of his/her parent/legal guardian. By returning a completed Affidavit/Release, such winner (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) attests to the provisions stated therein including compliance with these Official Rules. Each Grand Prize Travel Guest (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be required to execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that the Sweepstakes Administrator and/or Sponsor requires ("Guest Release") within three (3) days after receipt by such potential winner. Once submitted, Sweepstakes Entries, Affidavit/Releases, and Guest Releases become the sole property of Sponsor. Notwithstanding anything to the contrary in Sponsor's privacy policy located at http://www.sonypictures.com/corp/privacy.html, except where prohibited by law, an entrant's entry into the Sweepstakes and/or a winner's acceptance of a prize constitutes permission of such entrant or winner (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) for Sponsor to use and/or allow others to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Website, winner's first name, last initial, city, and state for purposes of advertising, trade, promotion and publicity. Additionally, by opting-in to specific offers from any of the Sweepstakes Entities, entrant's Sweepstakes Entry information will be subject to their respective privacy policies and terms of service, and entrant agrees to receive additional email communication from those companies. The privacy policy for any Sweepstakes Entity participating in an opt-in will be accessible from the Online Entry form or Text Message return message. Opting in to specific offers does not improve one's chances of winning. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or the Website or any Website related to the Sweepstakes; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person in connections with this Sweepstakes. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible to win any prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned (e.g., Show schedule changes, affiliate preemptions), Sponsor, at its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes or any portion(s) thereof; and, at its sole discretion, Sponsor may, but is not obligated to, conduct any or all the drawings and award prizes from all salvageable Sweepstakes Entries received for a given Daily Sweepstakes or all the Daily Sweepstake and the Grand Prize, if any. In case of a dispute over the identity of an entrant who submitted a winning Online Entry or Text Message, the authorized account holder of the email address or mobile telephone number associated with that Text Message Entry or Online Entry may be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to a mobile telephone number provided by his/her designated service provider and/or an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Disclaimers: The Sweepstakes Entities are not responsible or liable for, and will deem ineligible, Sweepstakes Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), or for Sweepstakes Entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, postage-due, mechanically duplicated, mass machine printed, or otherwise not in compliance with these Official Rules, and all such Sweepstakes Entries will be disqualified. By entering this Sweepstakes, each entrant (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) agrees and acknowledges to be bound by the Rules and Laws, as well as the decisions of the Sweepstakes Administrator which are final and binding in all respects; to waive any rights to claim ambiguity with the Rules and Laws; and that Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes (including, but not limited to, the preemption, cancellation, interruption of Show or any elements of Show as it relates to the Sweepstakes); human error; incorrect or inaccurate transcription of Sweepstakes Entry information; acceptance/possession and/or use/misuse of any prize awarded herein (including, but not limited to, cancellations and delays or any change of the air carrier(s), lodging facilities, or other entity or any other persons providing any of the components for Grand Prize winner and his/her Travel Guest(s), if applicable, due to reasons beyond the control of Sponsor and/or Sweepstakes Entities); any technical malfunctions of a telephone or mobile telephone network, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access the Sweepstakes, Website, or any online service via the internet due to hardware or software compatibility problems; any damage to entrant's (or any third person's) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed/duplicate/multiple data transmissions, omissions, interruptions, defects and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. 8. GOVERNING LAW, JURISDICTION, ARBITRATION: Any controversy or claim arising out of or relating to (i) the Sweepstakes, (ii) the awarding or redemption of any prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation shall be governed by and construed in accordance with the substantive laws of the State of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws. Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability or interpretation shall be submitted to final and binding arbitration, to be held in Los Angeles County, California, before a single arbitrator, in accordance with California Code of Civil Procedure §§ 1280 et seq. The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute. The arbitration shall be a confidential proceeding, closed to the general public. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator's award is based. The parties will share equally in payment of the arbitrator's fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys' fees and other expenses to the same extent as if the matter were being heard in court). Nothing in this paragraph shall affect either party's ability to seek from a court injunctive or equitable relief at any time.

THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
